TERMS OF USE

1. AGREEMENT

These Terms of Use ("Terms") are a binding agreement between you and La Pharmacie du Vin ("we," "us," or "our") governing your use of lapharmacieduvin.com (the "Site") and your purchase of products and services from us, whether online or in person.

By using the Site, making a reservation, placing an order, or joining the Wine Club, you accept these Terms. If you do not accept them, do not use the Site.

Our Privacy Policy is incorporated into these Terms by reference.

2. ELIGIBILITY AND AGE REQUIREMENTS

To use the Site and enter into a contract with us, you must be at least 18 years old and legally able to form a binding contract.

To purchase, order, receive, or take possession of alcoholic beverages, you must be at least 21 years old. By ordering any alcoholic product, you represent that you are 21 or older and that any person collecting the order on your behalf is 21 or older.

We verify age by visual inspection of a valid government-issued photo identification at the point of sale and at pickup. We will refuse any sale, and cancel any order, where age cannot be verified, where identification appears invalid, or where we reasonably believe alcohol is being purchased for a person under 21 or for a person who appears intoxicated. California law requires this, and no refund policy overrides it. Where we cancel an order for this reason, we will refund the purchase price but are not otherwise liable.

It is a crime under California law to purchase alcohol for a person under 21.

3. CHANGES TO THESE TERMS

We may update these Terms at any time. Changes take effect when posted, and the "Last Updated" date will reflect the revision. For material changes we will provide reasonable advance notice, such as by email or a notice on the Site. Changes do not apply retroactively to orders already placed. Your continued use of the Site after changes take effect means you accept them.

4. ACCEPTABLE USE

You agree that you will not:

Use the Site for spam, solicitations, or bulk communications.

Place an order or reservation that is speculative, false, fraudulent, or made in anticipation of demand, or resell or transfer a reservation without our permission.

Impersonate any person or entity, or misrepresent your affiliation with anyone.

Use any robot, spider, scraper, or automated process to monitor, copy, or extract content from the Site without our prior written permission.

Introduce any virus, malware, or other harmful code, or otherwise interfere with the operation or security of the Site.

Impose an unreasonable or disproportionate load on our infrastructure.

Copy, reproduce, modify, create derivative works from, or publicly display Site content except as permitted in Section 13.

Use the Site in violation of any applicable law.

5. ACCOUNTS

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly at lapharmacieduvin@gmail.com if you believe your account has been compromised. We may suspend or close an account that we reasonably believe has been used in violation of these Terms.

6. RESERVATIONS

Reservations are made through OpenTable and are subject to OpenTable's own terms. A reservation is a request until confirmed.

Cancellation and no-show policies, including any fee and the notice required to avoid it, are set through OpenTable and are shown to you at the time you book. Please review them before confirming your reservation.

We hold reserved tables for 15 minutes past the reservation time, after which the table may be released.

Large parties and private events may be subject to a separate written agreement, which may include a deposit, minimum spend, and its own cancellation terms. Those terms control over this section where they conflict.

7. MENU, PRICING, AND ALLERGENS

Menus, wine lists, vintages, and prices change frequently and are subject to change without notice. Items shown on the Site may not be available. Vintages may be substituted where a listed vintage sells out, and we will tell you before completing the sale where practical.

Allergens. Our kitchen handles nuts, dairy, gluten, shellfish, eggs, and other allergens, and we cannot guarantee that any dish is free of any allergen or free from cross-contact. Tell us about allergies and dietary restrictions before ordering and we will do our best to accommodate you, but we cannot assume responsibility for adverse reactions. If you have a severe allergy, please speak with a manager.

Errors. If a product is listed at an incorrect price or with incorrect information, we may cancel or refuse the order even after it is confirmed, and we will refund any amount charged.

8. ONLINE ORDERS

Order acceptance. Your order is an offer to purchase. No contract is formed until we confirm the order and, for alcohol, until age is verified at pickup. We may refuse or cancel any order for any lawful reason, including suspected fraud, inventory shortages, pricing errors, or inability to verify age.

Payment. Payments are processed by Stripe and by Toast at our point of sale. You authorize us to charge the payment method you provide for the total amount, including taxes and any applicable fees. We do not store full payment card numbers.

Taxes. Prices exclude applicable sales tax and any alcohol-related fees, which are added at checkout.

Fulfillment. All orders are fulfilled by in-store pickup at 3926 Sunset Blvd, Los Angeles, CA 90029. We do not ship or deliver.

9. ALCOHOL: PICKUP AND AGE VERIFICATION

All alcohol sales are made and title passes at our premises at 3926 Sunset Blvd, Los Angeles, CA 90029. We are licensed by the California Department of Alcoholic Beverage Control, and our license is posted at the premises.

Pickup only. All orders containing alcohol, including Wine Club selections, retail wine, and gift boxes, are available for in-store pickup only. We do not ship or deliver alcohol.

Identification. The person collecting an order must present valid government-issued photo identification showing they are 21 or older. We cannot release an order without it.

Uncollected retail orders. We hold retail orders for 30 days. Orders not collected within that period are restocked and refunded to the original payment method.

Returns. Because of California law governing alcoholic beverages, we cannot accept returns of alcohol once it has left our premises. If you believe a bottle is corked, oxidized, or otherwise faulty, contact us and we will work with you in good faith to make it right, which may include a replacement or a store credit at our discretion. Non-alcoholic merchandise may be returned unopened within 14 days for a refund.

10. WINE CLUB: AUTOMATIC RENEWAL TERMS

Please read this section carefully. The Wine Club is a subscription that renews automatically until you cancel.

What you get. Two bottles selected by our team each month, available for in-store pickup, together with tasting notes and pairing suggestions.

Price and billing. $95 per month during any promotional period, and $115 per month thereafter, charged to your payment method on file on the same date each month. Applicable taxes are added.

Automatic renewal. Your membership continues month to month and renews automatically at the then-current rate until you cancel. There is no minimum term.

Price changes. We will give you at least 30 days' notice by email before any price increase takes effect. If you do not want to continue at the new price, cancel before it takes effect.

How to cancel. You may cancel at any time, for any reason, directly from your account on the Site. You do not need to contact us or give a reason. If you have any difficulty, email lapharmacieduvin@gmail.com or call (323) 666-0267 during business hours and we will cancel it for you. Cancellation takes effect at the end of the billing period in which you cancel, and you keep access to any month you have already paid for.

Refunds. We do not refund the current month once billed, except where required by law. Your membership remains active through the end of that month.

Uncollected selections. Monthly selections are held for pickup for 60 days from the date of release. If you have not collected a selection within that period, we convert its value to store credit on your account, which you may use toward any purchase. Store credit issued this way does not expire.

Failed payments. If a payment fails we may retry it and may suspend or cancel your membership. You remain responsible for amounts owed.

Age. Wine Club membership requires that you be 21 or older. Identification is checked at every pickup.

11. GIFT CARDS

Gift cards and e-gift cards are redeemable for food, beverages, and merchandise at La Pharmacie du Vin.

Consistent with California law, our gift cards do not expire and carry no dormancy, inactivity, or service fees. If your remaining balance is under $10, you may request the balance in cash.

Gift cards are not reloadable, cannot be redeemed for cash except as stated above, and cannot be replaced if lost or stolen unless you can provide proof of purchase. Gift cards may not be resold. We may refuse a gift card we reasonably believe was obtained fraudulently.

12. WINE TASTING CLASSES AND EVENTS

Class and event tickets are non-transferable unless we agree otherwise. Attendees must be 21 or older where alcohol is served.

Cancellation terms differ by event and are shown on each class or event listing on the Site at the time you book. Please review them before purchasing.

If we cancel a class or event, we will offer you a full refund or a transfer to a future date, at your choice. That is our entire liability.

13. INTELLECTUAL PROPERTY

The Site and its contents, including text, photographs, menus, wine descriptions, graphics, page design, and the La Pharmacie du Vin name and logo, are owned by us or our licensors and are protected by copyright, trademark, and other laws.

You may view the Site and reproduce short extracts for your own personal, non-commercial use. You may not otherwise copy, reproduce, republish, distribute, modify, or create derivative works from Site content without our prior written permission. You may not use our name, logo, or trademarks in meta tags, hidden text, framing, or advertising without our prior written permission.

Third-party marks appearing on the Site, including those of wine producers, importers, OpenTable, Toast, Stripe, and Squarespace, belong to their respective owners.

14. YOUR CONTENT AND SUBMISSIONS

Reviews, photos, and social media. If you post a photo, review, comment, or other content about us on a public platform, or send it to us, you grant us a non-exclusive, royalty-free, worldwide license to reproduce, display, and share that content in our own marketing, including on our Site and social media accounts, with attribution to your handle or name where practical. You may ask us to stop using your content at any time by emailing lapharmacieduvin@gmail.com, and we will remove it from anything within our control going forward.

You represent that you own or have the rights to any content you post, and that it does not infringe anyone's rights or violate any law.

Unsolicited ideas. We do not accept unsolicited creative ideas, concepts, or proposals, and we ask that you not send them. If you send one anyway, we are not obliged to keep it confidential, and we may use it without compensation or attribution. This does not apply to feedback about your experience, which we welcome.

Email. Please do not send confidential or financial information, including payment card numbers, by email.

15. THIRD-PARTY SERVICES AND LINKS

The Site links to and relies on third-party services including OpenTable, Stripe, Toast, Squarespace, Google, Instagram, and Facebook. We do not control those services and are not responsible for their content, practices, or availability. Your use of them is governed by their own terms. A link is not an endorsement.

16. DISCLAIMERS

The Site is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Site will be uninterrupted, secure, or error-free, or that information on it, including prices, vintages, and availability, is accurate, current, or complete.

Nothing in these Terms excludes or limits any warranty or right that cannot be excluded or limited under California law.

17. LIMITATION OF LIABILITY

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or business interruption, arising out of or relating to the Site, your purchases, or these Terms, regardless of the theory of liability and even if we were advised of the possibility.

To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the Site or your purchases will not exceed the greater of the amount you paid us in the six months preceding the claim, or one hundred dollars.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for violation of law, or for any other liability that cannot be limited or excluded under California law, including Civil Code section 1668. Nothing in these Terms waives any right you have under the California Consumer Privacy Act, and any purported waiver of those rights is void under Civil Code section 1798.192.

18. INDEMNIFICATION

You agree to indemnify and hold harmless La Pharmacie du Vin and its owners, officers, employees, and agents from any claims, damages, liabilities, and reasonable attorneys' fees arising out of your breach of these Terms, your violation of any law, or your infringement of any third party's rights. This does not require you to indemnify us for our own negligence or willful misconduct.

19. GOVERNING LAW AND VENUE

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any action arising out of or relating to these Terms or the Site must be brought in the state or federal courts located in Los Angeles County, California, and you consent to the jurisdiction and venue of those courts. Nothing in this section prevents you from bringing a claim in small claims court.

20. TERMINATION

We may suspend or terminate your access to the Site or your account at any time if you breach these Terms. Sections 13, 14, 16, 17, 18, 19, and 21 survive termination.

21. GENERAL

Severability. If any provision is held unenforceable, it is severed and the rest remains in effect.

No waiver. Our failure to enforce a provision is not a waiver of it.

Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.

Force majeure. We are not liable for failure to perform due to causes beyond our reasonable control, including fire, flood, earthquake, power failure, labor disputes, supply chain disruption, public health orders, or government action.

Electronic signatures. You agree that your use of the Site and your acceptance of these Terms constitute an electronic signature under the federal E-SIGN Act and the California Uniform Electronic Transactions Act, and that these Terms are enforceable against you.

Accessibility. We are working to keep the Site accessible to people with disabilities. If you encounter a barrier, contact lapharmacieduvin@gmail.com and we will assist you and work to fix it.

Entire agreement. These Terms and our Privacy Policy are the entire agreement between us regarding the Site and your purchases, and supersede any prior understanding, except that separate written agreements for private events control where they conflict.

22. COPYRIGHT INFRINGEMENT CLAIMS

If you believe content on the Site infringes your copyright, send a notice under 17 U.S.C. section 512(c)(3) to lapharmacieduvin@gmail.com or to La Pharmacie du Vin, Attn: Copyright Agent, 3926 Sunset Blvd, Los Angeles, CA 90029, including:

Your physical or electronic signature, or that of a person authorized to act for the copyright owner.

Identification of the copyrighted work claimed to be infringed.

Identification of the material claimed to be infringing and where it is located on the Site.

Your address, telephone number, and email address.

A statement that you have a good faith belief the use is not authorized by the copyright owner, its agent, or the law.

A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.

If we remove material in response to a notice, we will make reasonable efforts to notify the person who posted it, who may submit a counter-notice under 17 U.S.C. section 512(g)(3). We may terminate the accounts of repeat infringers.
